Article 1: Definitions

  1. "Client": The natural person or legal entity that has entered into or wishes to enter into an agreement with Online Exposure, as well as its representative(s), agent(s), and assign(s).
  2. "Online Exposure": The online marketing agency located in Sneek (Friesland), which specializes in offering online marketing services, website development, web hosting and management of online accounts such as social media and Google accounts.
  3. "Quote": A document prepared by Online Exposure giving an indication of the cost of providing services.
  4. "Agreement": A written or electronic agreement between Online Exposure and the Client, as confirmed by both parties.
  5. "Written": Communication by mail, email, or any other electronic means of communication common in current technology and use.

    6. Artikel 2: Toepasselijkheid

    1. Deze voorwaarden zijn van toepassing op alle aanbiedingen, offertes en overeenkomsten van Online Exposure.
    2. Afwijkingen van deze algemene voorwaarden zijn alleen geldig indien schriftelijk overeengekomen door beide partijen.
    3. De toepasselijkheid van eventuele inkoopvoorwaarden van de Cliënt wordt uitdrukkelijk uitgesloten.
    4. Door akkoord te gaan met een offerte of opdrachtbevestiging waarin naar deze voorwaarden wordt verwezen, aanvaardt de Cliënt de toepasselijkheid van deze algemene voorwaarden.

    Article 3: Establishment of the Contract

    1. The contract is established upon written confirmation from Online Exposure or as soon as Online Exposure begins the execution of the work with the Client's consent.
    2. Verbal agreements only bind Online Exposure if they are confirmed in writing.

    Article 4: Offers and Quotations

    1. All quotations and offers are without obligation, unless explicitly stated otherwise. Online Exposure may revoke an offer within 2 business days.
    2. The prices stated in quotations are exclusive of VAT and additional costs, such as travel and transportation costs

    Artikel 5: Uitvoering van de overeenkomst

    1. Online Exposure voert de overeenkomst naar beste vermogen en met de zorgvuldigheid die van een professional mag worden verwacht.
    2. Online Exposure spant zich in om de gewenste resultaten te behalen, maar garandeert geen specifiek resultaat, zoals een bepaalde positie in zoekmachines of online prestaties.
    3. De Cliënt dient tijdig alle benodigde informatie te verstrekken die essentieel is voor de uitvoering van de overeenkomst. Vertraging als gevolg van ontbrekende of onjuiste gegevens komt voor rekening van de Cliënt.

    Artikel 6: Webhosting en websiteontwikkeling

    1. Online Exposure biedt webhostingdiensten en websiteontwikkeling aan volgens de voorwaarden die zijn overeengekomen in de overeenkomst met de Cliënt.
    2. Online Exposure streeft naar een optimale beschikbaarheid van de webhosting, maar kan geen 100% uptime garanderen. Onderhoud, storingen of andere technische problemen kunnen leiden tot tijdelijke onbeschikbaarheid van de websites van de Cliënt.
    3. De Cliënt is verantwoordelijk voor de inhoud van de website. Online Exposure kan niet aansprakelijk worden gesteld voor illegale of ongepaste inhoud geplaatst door de Cliënt of derden.
    4. De Cliënt is verantwoordelijk voor het tijdig bijwerken van wachtwoorden en het onderhouden van de beveiliging van zijn/haar website en hostingaccount.

    Article 7: Management of online accounts

    1. The Client grants Online Exposure exclusive authority for the duration of the agreement to carry out online marketing campaigns and social media management, as well as the management of Google accounts and social media.
    2. Online Exposure will be granted access to the relevant accounts of the Client for the performance of the agreed work.
    3. Online Exposure cannot be held liable for damages caused by hacks, data breaches or unauthorized access to the Client's accounts, unless they are the direct result of gross negligence or willful misconduct by Online Exposure.
    4. The Client remains responsible for the security of his/her own accounts, including the use of strong passwords and two-factor authentication (2FA).

    Artikel 8: Veiligheidsrisico’s en hacks

    1. Online Exposure zal redelijke stappen ondernemen om de veiligheid van de door haar beheerde websites, accounts en hostingdiensten te waarborgen, maar is niet verantwoordelijk voor beveiligingsinbreuken of hacks die buiten haar controle vallen.
    2. Indien een hack of datalek plaatsvindt, zal Online Exposure de Cliënt zo snel mogelijk op de hoogte stellen en samenwerken om de schade te beperken en de controle te herstellen.
    3. In het geval van een hack blijft de Cliënt verantwoordelijk voor de kosten die voortvloeien uit campagnes of diensten die zijn uitgevoerd via gehackte accounts, tenzij de hack het directe gevolg is van nalatigheid van Online Exposure.

    Artikel 9: Honorarium en betaling

    1. Online Exposure kan werken op basis van een vast honorarium of op uurbasis. Dit wordt schriftelijk vastgelegd in de overeenkomst.
    2. Bij langdurige projecten is Online Exposure gerechtigd om periodieke facturen te sturen.
    3. Betaling dient te geschieden binnen 14 dagen na factuurdatum. Indien de Cliënt niet binnen deze termijn betaalt, is hij/zij automatisch in verzuim en wordt een rente van 1,5% per maand in rekening gebracht.

    Artikel 10: Aansprakelijkheid

    1. Online Exposure is alleen aansprakelijk voor directe schade als gevolg van grove nalatigheid of opzet. Voor indirecte schade, zoals verlies van gegevens, gederfde winst of gevolgschade, is Online Exposure niet aansprakelijk.
    2. De aansprakelijkheid van Online Exposure is in alle gevallen beperkt tot het bedrag van de factuurwaarde van de overeenkomst.

    Artikel 11: Geheimhouding

    1. Beide partijen zijn verplicht tot geheimhouding van alle vertrouwelijke informatie die in het kader van de overeenkomst is verkregen. Deze verplichting blijft ook na beëindiging van de overeenkomst van kracht.

    Article 12: Intellectual Property

    1. All intellectual property rights relating to websites, strategies, reports and other documents developed by Online Exposure remain with Online Exposure.
    2. The Client may only use this information for internal purposes and may not disclose it without written permission from Online Exposure.

    Article 13: Applicable law and competent court

    1. All contracts between Online Exposure and the Client are governed by Dutch law.
    2. Disputes will be settled by the competent court in the district where Online Exposure has its registered office
